You must not transmit viruses, worms, malware, malicious code, destructive code, automated attacks, or any other technology intended or reasonably likely to interfere with, damage, disrupt, compromise, or obtain unauthorized access to the website, Service, servers, databases, systems, networks, or users.

A material breach or violation of these Terms may result in suspension or termination of your access to the Service and may give rise to other rights or remedies available to MedEx Consult.

SECTION 2 – GENERAL CONDITIONS

We reserve the right to refuse, restrict, suspend, or discontinue Service to any person where permitted by applicable law.

You acknowledge that information you provide through the website, other than payment-card information processed through secure payment systems, may be transmitted through various networks and may undergo technical changes necessary to conform to the requirements of connecting networks, systems, or devices.

Payment-card information transmitted through applicable payment systems is subject to the security and encryption practices of the applicable payment processor.

SECTION 4 – COPYRIGHT

Original works appearing on or made available through the MedEx Consult website, including original text, photographs, graphics, illustrations, educational materials, marketing materials, audiovisual materials, documents, and other original works, are protected by applicable copyright law.

All rights not expressly granted are reserved.

SECTION 5 – TRADEMARKS, TRADE NAMES, LOGOS, AND BRAND IDENTITY

The MedEx Consult name, logo, brand identity, trade dress, and associated names, designs, symbols, slogans, graphics, and brand identifiers are proprietary to MedEx Consult.

Nothing contained on this website grants any licence or right to use any MedEx Consult trademark, trade name, logo, brand identifier, or other proprietary designation without prior written authorization.

Without our prior written authorization, you must not use, reproduce, imitate, alter, modify, display, publish, distribute, register, or otherwise exploit the MedEx Consult name, logo, branding, or other proprietary identifiers.

You must not adopt, register, use, promote, advertise, or operate any business name, trade name, trademark, service mark, logo, domain name, social-media account, marketing campaign, website, product, or service in a manner that:

Unauthorized use may result in MedEx Consult exercising any rights and remedies available under applicable law.

SECTION 6 – PROHIBITION AGAINST COPYING, IMITATION, AND UNAUTHORIZED COMMERCIAL USE

Except where expressly permitted by applicable law or authorized in writing by MedEx Consult, you must not copy, reproduce, imitate, republish, modify, distribute, transmit, display, sell, license, commercially exploit, or create derivative works based upon protected MedEx Consult materials.

  • reproduce substantial portions of the website for use on another website, application, social-media account, publication, advertisement, or digital service; or

  • authorize, encourage, facilitate, or assist another person or entity in undertaking any prohibited activity described in these Terms.

Permission for one particular use does not constitute permission for any other use.

Any permission granted by MedEx Consult must be interpreted according to its terms and may be subject to conditions or limitations.

SECTION 7 – SCRAPING, AUTOMATED EXTRACTION, AND TECHNOLOGICAL USE

Except with prior written authorization from MedEx Consult or as otherwise permitted by applicable law, you must not use robots, spiders, crawlers, scrapers, automated extraction technologies, data-mining tools, automated agents, or similar systems to systematically copy, reproduce, extract, download, harvest, index, republish, or commercially exploit protected content from the MedEx Consult website.

SECTION 8 – INTELLECTUAL PROPERTY ENFORCEMENT

MedEx Consult reserves all rights and remedies available under applicable law in connection with unauthorized copying, reproduction, imitation, publication, distribution, modification, impersonation, misuse, misappropriation, or infringement of its intellectual property.

Where MedEx Consult becomes aware of suspected infringement or unauthorized use, we may take such action as we consider appropriate and legally available.

Such action may include, without limitation:

  • contacting the individual or organization responsible;

  • demanding that unauthorized use cease;

  • requesting removal of infringing or unauthorized material;

  • issuing formal legal correspondence;

  • providing infringement notices to website operators;

  • contacting hosting providers;

  • contacting domain registrars or other relevant intermediaries where appropriate;

  • submitting intellectual-property complaints to social-media platforms or other online services;

  • seeking injunctive or other equitable relief;

  • seeking damages or other monetary remedies where available; and

  • pursuing any other remedies available under applicable law.

Failure or delay by MedEx Consult in enforcing an intellectual property right does not constitute a waiver, abandonment, or relinquishment of that right.

Questions regarding permission to use MedEx Consult intellectual property should be directed to info@medexconsult.com.

SECTION 9 – ACCURACY, COMPLETENESS, AND TIMELINESS OF INFORMATION

We make reasonable efforts to provide useful information through our website; however, we do not warrant that all information made available through the website will at all times be accurate, complete, current, or free from error.

Unless expressly stated otherwise, materials on this website are provided for general informational purposes and should not be relied upon as the sole basis for making material decisions without consulting appropriate primary, professional, or more current sources.

Reliance upon information made available through the website is at your own risk, subject to any rights that cannot lawfully be excluded.

The website may contain historical information. Historical information is necessarily not current and is provided for reference purposes.

We reserve the right to modify website content at any time, subject to applicable law, but assume no general obligation to update every item of information previously published.

SECTION 10 – MODIFICATIONS TO THE SERVICE AND PRICES

Prices for our products and Services are subject to change without notice, except where otherwise required by applicable law or an existing agreement between you and MedEx Consult.

We reserve the right, at any time and in our discretion, to modify, update, restrict, suspend, replace, or discontinue the Service or any part, content, product, functionality, feature, or Service offered through it, subject to applicable law and existing contractual obligations.

We may modify descriptions, features, availability, eligibility requirements, delivery methods, and pricing associated with our products and Services.

To the maximum extent permitted by applicable law, MedEx Consult will not be liable to you or any third party for a modification, price change, suspension, restriction, or discontinuation of the Service.

Nothing in this Section limits any right or remedy that cannot lawfully be excluded under applicable consumer-protection legislation.

SECTION 11 – SERVICES, AVAILABILITY, PURCHASES, AND REFUNDS

We reserve the right, but are not obligated, to limit the availability or sale of products or Services to any person, geographic region, jurisdiction, or category where permitted by applicable law.

We may exercise this right on a case-by-case basis.

We reserve the right to limit the quantity, availability, duration, frequency, eligibility, or scope of any product or Service we offer.

Descriptions, availability, and pricing of products and Services are subject to change at any time without notice, subject to applicable law and existing contractual obligations.

We reserve the right to discontinue any product or Service at any time.

Any offer for a product or Service made through this website is void where prohibited by law.

We do not warrant that every product, Service, information resource, consultation, educational material, or other material purchased or obtained through the Service will meet every user's particular expectations, goals, or objectives.

Refunds

Due to the nature of our Services, individually purchased Services and subscriptions are generally non-refundable once purchased, commenced, accessed, delivered, or otherwise made available, except where:

  • MedEx Consult expressly agrees otherwise in writing;

  • specific refund or cancellation terms applicable to a particular Service provide otherwise; or

  • a refund or cancellation right is required by applicable law.

Any specific cancellation, rescheduling, subscription, or refund terms communicated in connection with a particular Service will form part of the terms applicable to that Service.

Nothing in these Terms is intended to waive, restrict, or exclude a refund, cancellation, rescission, or consumer right that cannot lawfully be waived, restricted, or excluded.

SECTION 12 – ACCURACY OF BILLING, PAYMENT, AND ACCOUNT INFORMATION

We reserve the right to refuse, reject, limit, suspend, or cancel an order, purchase, subscription, transaction, or request for Services where permitted by applicable law.

We may, in our discretion and where permitted by law, limit or cancel purchases made per person, household, customer account, payment method, billing address, shipping address, or order.

These restrictions may include transactions placed by or under the same customer account, payment card, billing

address, shipping address, or other transaction information.

We reserve the right to limit, refuse, or prohibit transactions that, in our reasonable judgment, appear to have been placed by unauthorized dealers, resellers, distributors, intermediaries, fraudulent users, or persons attempting to misuse our Services.

If we modify or cancel a transaction, we may attempt to notify you using the email address, billing address, telephone number, or other contact information provided when the transaction was submitted.

You agree to provide current, complete, truthful, and accurate purchase, payment, billing, and account information for transactions conducted through the Service.

You agree to promptly update your account and other information, including your email address and applicable payment information, as necessary to allow us to complete transactions and contact you regarding your account or Services.

You represent that you are authorized to use any payment method submitted in connection with a transaction.

You must not knowingly provide false, misleading, fraudulent, stolen, or unauthorized payment, billing, or account information.

MedEx Consult may suspend or terminate access to paid Services where payment is declined, reversed, disputed, charged back, overdue, fraudulent, or otherwise not successfully completed, subject to applicable law and contractual obligations.

SECTION 13 – PAYMENT PROCESSING

Payments made through the website may be processed by independent third-party payment processors, banks, credit-card networks, or other financial institutions.

Where payment processing is performed by a third party, MedEx Consult may not directly receive, process, or retain complete payment-card information.

Your use of a third-party payment-processing service may also be subject to that provider's applicable terms, conditions, and privacy practices.

To the maximum extent permitted by applicable law, MedEx Consult is not responsible for interruptions, technical errors, declined transactions, processing delays, or other acts or omissions attributable solely to an independent third-party payment processor or financial institution.

SECTION 14 – OPTIONAL AND THIRD-PARTY TOOLS

We may provide access to third-party tools, platforms, software, integrations, applications, or other technologies over which we may have limited or no monitoring, control, or input.

Unless expressly stated otherwise, access to third-party tools is provided on an “as is” and “as available” basis without warranties, representations, or conditions from MedEx Consult concerning those third-party tools.

Your use of optional third-party tools is at your discretion and may be subject to separate terms and privacy policies imposed by the applicable third-party provider.

You are responsible for reviewing and determining whether you agree to those terms before using a third-party service.

We may introduce additional tools, features, resources, or Services in the future. Unless otherwise expressly stated, such additions will also be subject to these Terms.

SECTION 15 – THIRD-PARTY LINKS, CONTENT, PRODUCTS, AND SERVICES

The website or Service may contain links to, integrations with, references to, or materials from third-party websites, products, resources, or services.

Third-party websites are not controlled by MedEx Consult merely because a link to them appears on our website.

Unless expressly stated otherwise, MedEx Consult does not endorse and is not responsible for examining or evaluating the accuracy, content, security, privacy practices, availability, products, or services of independent third parties.

To the maximum extent permitted by applicable law, we will not be responsible for losses or damages arising solely from your dealings with independent third-party websites, products, services, or resources.

You should carefully review the policies and practices of third parties before entering into transactions with them.

Complaints, claims, concerns, or questions concerning independent third-party products or services should ordinarily be directed to the applicable third party.

SECTION 16 – USER COMMENTS, FEEDBACK, COMMUNICATIONS, AND SUBMISSIONS

Where users are permitted to submit comments, feedback, suggestions, ideas, communications, materials, reviews, or other content, users remain responsible for the content and accuracy of their submissions.

You must not submit content that violates applicable law or infringes the copyright, trademark, privacy, personality, contractual, proprietary, confidential, or other rights of another party.

You must not submit content that contains unlawful threats, defamatory material, malicious code, or other unlawful content.

You must not use a false email address, impersonate another person or organization, or otherwise materially mislead MedEx Consult or third parties concerning the origin or authorship of a submission.

We may, but have no general obligation to, monitor, edit, restrict, refuse, or remove user content that we reasonably determine violates these Terms, applicable law, or the rights of another party.

We assume no responsibility for user-generated content except to the extent required by applicable law.

SECTION 17 – PRIVACY AND PERSONAL INFORMATION

Our collection, use, disclosure, retention, and handling of personal information is governed by our Privacy Policy and applicable privacy legislation.

Please review our Privacy Policy before submitting personal information through the website or Service.

Where we use analytics or similar technologies to understand use of our website or improve our Services, such activities will be conducted in accordance with our Privacy Policy and applicable law.

Nothing in these Terms modifies any rights or obligations imposed by applicable privacy legislation.

SECTION 18 – ERRORS, INACCURACIES, AND OMISSIONS

From time to time, information on our website or within the Service may contain typographical errors, inaccuracies, omissions, or outdated information relating to product or Service descriptions, pricing, promotions, offers, availability, or other matters.

Subject to applicable law and existing contractual obligations, we reserve the right to correct errors, inaccuracies, or omissions and to change or update information.

Where legally permitted, we may cancel or modify transactions where material information relating to the transaction was demonstrably incorrect.

We undertake no general obligation to continuously update, amend, or clarify information previously published through the Service except as required by law.

A stated update or refresh date should not necessarily be interpreted to mean that all information contained within the Service was modified on that date.

SECTION 19 – NO MEDICAL ADVICE OR PHYSICIAN-PATIENT RELATIONSHIP

Unless expressly provided as part of a separately contracted professional service, information made available through the MedEx Consult website is provided for general informational and educational purposes only.

Website content does not constitute individualized medical advice, diagnosis, treatment, prescribing, emergency medical services, or other individualized professional healthcare advice.

Accessing this website, reviewing educational content, submitting a general inquiry, subscribing to information, or otherwise interacting with publicly available website materials does not, by itself, establish a physician-patient relationship or other healthcare professional-patient relationship with MedEx Consult or any physician, healthcare professional, consultant, employee, contractor, or individual associated with MedEx Consult.

Information provided through the website should not be used as a substitute for individualized medical assessment, diagnosis, or treatment by an appropriately qualified healthcare professional.

You should seek appropriate professional medical advice regarding individual health concerns and should not disregard or delay seeking professional medical care solely because of information obtained through this website.

If you believe you are experiencing a medical emergency, you should seek appropriate emergency medical assistance.

SECTION 20 – PROFESSIONAL AND EDUCATIONAL INFORMATION

Educational, professional, consulting, career, training, or other informational resources made available through MedEx Consult are provided subject to the nature and terms of the particular Service.

Unless expressly guaranteed in a separate written agreement, MedEx Consult does not guarantee any particular academic, professional, licensing, examination, employment, residency, fellowship, admission, certification, immigration, financial, business, or career outcome from the use of its Services.

Users remain responsible for independently verifying requirements imposed by universities, professional colleges, licensing authorities, certification bodies, employers, immigration authorities, government agencies, and other third parties.

Requirements imposed by such organizations may change without notice and are outside MedEx Consult's control.

SECTION 21 – PROHIBITED USES

In addition to prohibitions contained elsewhere in these Terms, you must not use the website, Service, or its content:

(a) for an unlawful, fraudulent, deceptive, or unauthorized purpose;

(b) to solicit, encourage, facilitate, or participate in unlawful activity;

(c) to violate applicable international, federal, provincial, state, territorial, or local laws, regulations, rules, or ordinances;

(d) to infringe, misappropriate, or violate MedEx Consult's intellectual property rights or those of another party;

(e) to copy, imitate, reproduce, or commercially exploit the MedEx Consult name, logo, branding, original content, original images, marketing materials, or other protected materials without authorization;

(f) to impersonate MedEx Consult or falsely imply an affiliation, endorsement, sponsorship, authorization, or partnership with MedEx Consult;

(g) to harass, threaten, abuse, defame, intimidate, or unlawfully discriminate against another person;

(h) to submit materially false, deceptive, fraudulent, or misleading information;

(i) to upload or transmit viruses, malware, malicious code, or other technology that may adversely affect the website, Service, related websites, systems, networks, devices, or the Internet;

(j) to unlawfully collect, harvest, disclose, track, or misuse personal information;

(k) to spam, phish, pharm, pretext, scrape, crawl, or otherwise engage in prohibited automated activity;

(l) to interfere with or circumvent security features, access restrictions, technological protections, authentication systems, or other safeguards;

(m) to misrepresent the origin, ownership, authorship, sponsorship, or affiliation of content, products, or Services;

(n) to remove or alter copyright, trademark, attribution, watermark, or proprietary notices;

(o) to create an unauthorized reproduction, mirror, clone, or substantially copied version of protected portions of the MedEx Consult website;

(p) to facilitate another person's violation of these Terms; or

(q) for any other purpose prohibited by applicable law.

We reserve the right to suspend or terminate access to the Service for violations of these Terms and to pursue other remedies available under applicable law.

SECTION 22 – DISCLAIMER OF WARRANTIES

To the maximum extent permitted by applicable law, MedEx Consult does not guarantee that your use of the website or Service will always be uninterrupted, timely, secure, error-free, or continuously available.

We do not warrant that every result obtained through use of the Service will be accurate, complete, reliable, or suitable for every user's individual circumstances.

You acknowledge that portions of the Service may from time to time be unavailable, modified, suspended, or discontinued.

Except as expressly stated by MedEx Consult and subject to rights that cannot lawfully be excluded, the website and Service are provided on an “as is” and “as available” basis.

To the maximum extent permitted by applicable law, we disclaim representations, warranties, and conditions not expressly provided, including implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement where such warranties or conditions may lawfully be excluded.

Nothing in these Terms excludes any warranty, condition, representation, consumer right, or statutory protection that cannot lawfully be excluded.

SECTION 23 – LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, MedEx Consult and its directors, officers, employees, affiliates, agents, contractors, consultants, interns, suppliers, licensors, and service providers will not be liable for indirect, incidental, punitive, special, exemplary, or consequential damages arising from or relating to your use of or inability to use the website or Service.

This may include, where legally permissible, lost profits, lost revenue, lost savings, loss of data, business interruption, replacement costs, or similar losses.

Any limitation or exclusion of liability contained in these Terms applies only to the maximum extent permitted by applicable law.

Where a jurisdiction does not permit a particular exclusion or limitation of liability, that exclusion or limitation will apply only to the maximum extent permitted in that jurisdiction.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

SECTION 24 – INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless MedEx Consult and its parents, subsidiaries, affiliates, partners, officers, directors, employees, agents, contractors, consultants, licensors, service providers, subcontractors, and suppliers from claims, liabilities, losses, damages, costs, and reasonable legal fees arising from or relating to:

  • your material breach of these Terms;

  • your violation of applicable law;

  • your misuse of the website or Service; or

  • your infringement or violation of the intellectual property or other rights of another party.

This Section does not impose obligations that cannot lawfully be imposed under applicable law.

SECTION 25 – SEVERABILITY

If any provision or portion of these Terms is determined by a court or other authority of competent jurisdiction to be unlawful, invalid, void, or unenforceable, that provision will be interpreted or enforced to the maximum extent permitted by law.

Where necessary, the unenforceable portion will be severed from these Terms without affecting the validity and enforceability of the remaining provisions.

SECTION 26 – TERMINATION AND SUSPENSION

These Terms remain effective while you access or use the website or Service.

You may cease using the website or Service at any time.

Where permitted by applicable law, MedEx Consult may restrict, suspend, or terminate your access to all or part of the Service if you materially violate these Terms, engage in fraudulent or unlawful conduct, fail to make required payments, misuse the Service, or infringe the rights of MedEx Consult or another party.

Termination does not eliminate rights, liabilities, payment obligations, or remedies that arose before termination.

Provisions relating to intellectual property, payment obligations, disclaimers, limitations of liability, indemnification, governing law, dispute resolution, and any provisions that by their nature are intended to survive termination will continue to apply following termination.

SECTION 27 – NO WAIVER

Failure or delay by MedEx Consult in exercising or enforcing any right, power, remedy, or provision under these Terms does not constitute a waiver of that right, power, remedy, or provision.

A waiver relating to one particular circumstance does not constitute a continuing waiver or a waiver relating to any subsequent circumstance.

SECTION 28 – ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any additional policies, notices, terms, or agreements expressly incorporated by reference, constitute the agreement governing your use of the website and Service, subject to any separate written agreement entered into between you and MedEx Consult.

Where a separately executed written agreement expressly governs a particular Service and conflicts with these general Terms, the specific written agreement will govern the particular matter to the extent of the conflict.

These Terms supersede prior versions of the website Terms concerning the same subject matter.

SECTION 29 – GOVERNING LAW AND JURISDICTION

These Terms and any dispute arising from or relating to the website or Service will be governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.

Subject to applicable law and any jurisdiction that cannot legally be excluded, you agree that disputes arising from or relating to these Terms, the website, or the Service will be subject to the jurisdiction of the courts of the Province of Ontario, Canada.

Nothing in this Section prevents MedEx Consult from seeking appropriate injunctive, equitable, intellectual-property, or other relief in another jurisdiction where such relief is legally available or necessary to protect its rights.

SECTION 30 – CHANGES TO THESE TERMS

You may review the current version of these Terms on this website.

We reserve the right, at our discretion, to update, amend, supplement, modify, or replace any part of these Terms from time to time.

The current version will be posted on this website together with its applicable “Last Updated” date.

Where required by applicable law, additional notice of material changes will be provided.

Your continued use of or access to the website or Service following publication of revised Terms constitutes acceptance of those changes to the extent permitted by applicable law.
